[Flex] question about NSF - WHOI's eligibility

Hi everyone,

I should know this, but I wonder if I'm the only one who doesn't.

We are responding to an NSF solicitation that is directed only to 
Institutes of Higher Education.  Normally I see that IHEs and 
non-profits are eligible to apply.

Is WHOI eligible to submit proposals when *only* IHEs are eligible? Does 
the MIT/WHOI Joint program allow us to submit as an IHE?
